Licence Agreement

This Licence Agreement ("Agreement") sets out the terms under which digital products purchased from Impulse Designs ("Impulse Designs", "we", "us" or "our") may be used.

By purchasing, downloading, accessing or using any product supplied by Impulse Designs, you acknowledge that you have read and agree to be bound by this Agreement.

If you do not agree to these terms, you must not purchase, download, access or use our products.

This Agreement applies to all digital products supplied by Impulse Designs, including but not limited to vehicle liveries, EUP/uniform packs, department documents, templates and other digital assets.

1. Definitions

For the purposes of this Agreement:

"Product" means any digital product, file, asset, template, document, texture, livery, EUP item or other digital content supplied by Impulse Designs.

"Customer", "you" or "your" means the individual or organisation that lawfully purchased or was otherwise authorised to use a Product.

"Impulse Designs", "we", "us" or "our" means Impulse Designs and the relevant owner or rights holder of the Product.

"Server" means a FiveM server or other gaming server on which a Product is intended to be used.

"Licence" means the limited permission granted to you to use a Product under this Agreement.

2. Ownership and Intellectual Property

Unless expressly stated otherwise in writing, all Products remain the intellectual property of Impulse Designs and/or the applicable copyright owner.

Purchasing a Product does not transfer ownership, copyright or other intellectual property rights in that Product to you.

You are purchasing a licence to use the Product, not the underlying copyright or intellectual property.

Impulse Designs retains all rights not expressly granted to you under this Agreement.

Copyright and other intellectual property rights may protect digital artwork, written material, software, textures, graphics, designs and other original works. Purchasing a digital Product does not, by itself, transfer those rights to the purchaser.

3. Licence Grant

Subject to your compliance with this Agreement and payment for the relevant Product, Impulse Designs grants you a limited, non-exclusive, non-transferable and revocable licence to use the purchased Product for its intended purpose.

Unless otherwise stated on the relevant Product page or agreed in writing, the licence is granted to the purchaser for their own use and does not permit the purchaser to distribute the Product to other people or organisations.

The licence does not grant you the right to sell, sublicense, redistribute or commercially exploit the Product itself.

4. FiveM Server Use

Purchased FiveM Products may be installed and used on a FiveM server operated or controlled by the purchasing customer, subject to the specific licence restrictions applicable to the Product.

Where a Product is intended for server use, you may:

• Install the Product on your own FiveM server.
• Use the Product as part of your server's gameplay environment.
• Allow players and members of your server community to experience the Product as part of normal gameplay.
• Make reasonable configuration changes necessary to install or operate the Product, where applicable.

Players, staff members and members of your server community do not receive ownership of the underlying Product merely because they can access or use it through your Server.

5. Server Staff and Contractors

You may provide reasonable access to purchased Product files to trusted server staff or contractors where that access is necessary to install, configure, maintain or administer the Product on your authorised Server.

You remain responsible for ensuring that anyone you provide access to complies with this Agreement.

Providing a file to a developer, server administrator or other person for installation or technical support does not transfer ownership of the Product to that person.

You must not knowingly provide Product files to individuals for the purpose of allowing them to obtain or use the Product independently of your authorised use.

6. Prohibited Use

Unless you have received written permission from Impulse Designs, you must not:

• Resell any Product.
• Rent, lease or sublicense any Product.
• Give away or distribute the original Product files.
• Upload Product files to public or private file-sharing websites.
• Upload Product files to Discord servers, forums, repositories or other distribution platforms for others to obtain.
• Share download links or access credentials with people who have not purchased or been authorised to use the Product.
• Claim that you created a Product that was created by Impulse Designs.
• Remove copyright notices, watermarks or other ownership notices where technically applicable.
• Use a Product to create a competing product for sale or distribution.
• Extract, copy or reproduce substantial portions of a Product for the purpose of creating or distributing another product.
• Make a Product available for download by members of the public.
• Circumvent technical measures used to restrict access to a Product.
• Use a Product for purposes that are expressly prohibited on the relevant Product page.

These restrictions apply whether the activity is carried out for money or free of charge.

7. Redistribution

The original Product files must not be redistributed.

This includes, but is not limited to:

• Uploading files to Discord.
• Uploading files to GitHub or similar repositories.
• Uploading files to Google Drive, Dropbox, MediaFire or similar file-hosting services for distribution.
• Posting download links publicly.
• Sending files to friends or other server owners who have not independently purchased or been authorised to use the Product.
• Including the original files in another downloadable resource.
• Repackaging the Product and distributing it under another name.

A customer purchasing a Product does not acquire the right to provide copies to other customers, servers or communities.

8. Modifications and Editing

Unless otherwise stated on the Product page, you may make reasonable modifications to a Product for your own authorised use.

For example, a customer may be permitted to:

• Change configuration files where necessary for installation.
• Make minor adjustments required for their Server.
• Edit a livery for compatibility with an authorised vehicle model where the Product is designed to support such modifications.
• Make reasonable changes to documents for use by their own authorised department or server.

Any modification must remain subject to this Agreement.

You must not modify a Product and then sell, distribute or publish the modified version as your own work without written permission from Impulse Designs.

A modified version of an Impulse Designs Product remains subject to the applicable intellectual property rights and licence restrictions.

9. Vehicle Liveries

Vehicle liveries supplied by Impulse Designs are licensed for use in accordance with the Product description and this Agreement.

Unless expressly permitted, customers must not:

• Resell the livery itself.
• Extract and redistribute the livery texture files.
• Upload the livery files for others to download.
• Repackage the livery into another paid or free product.
• Claim the original livery artwork as their own.
• Use the livery as the basis for a competing commercial product.

Where a livery is designed for a specific vehicle model, customers should ensure that they have the appropriate vehicle asset or permission to use that vehicle asset.

10. EUP and Uniform Products

EUP and uniform products are licensed for use within the intended FiveM environment and other uses expressly permitted by the relevant Product description.

Customers may use purchased EUP products on their authorised Server and may configure or install them as reasonably necessary for normal server operation.

Unless expressly permitted, customers must not:

• Redistribute the original EUP files.
• Upload the files for public download.
• Sell or sublicense the files.
• Include the files in another commercial pack.
• Provide the files to another server owner for their independent use.
• Claim Impulse Designs' original artwork or designs as their own.

Where EUP products contain third-party assets, the applicable third-party rights may also apply.

11. Department Documents

Department documents, templates and similar Products are licensed for the customer's intended use.

Where a document is sold for use by a particular department, roleplay organisation or Server, the customer may use and customise the document for that authorised purpose.

Unless otherwise stated, customers must not:

• Resell the original document.
• Redistribute the original template.
• Upload the editable source files for others to download.
• Use the document as the basis for a competing commercial template.
• Claim the original design or template as their own.

Customers may add their own legitimate department information, branding and operational content where the Product is intended to be customised.

12. Custom and Commissioned Products

Where Impulse Designs creates a custom Product specifically for a customer, the customer receives the usage rights expressly agreed as part of the commission.

Unless expressly agreed otherwise in writing, payment for a custom Product does not automatically transfer copyright or ownership of the underlying artwork to the customer.

Any additional rights, including exclusive rights, copyright transfer or commercial redistribution rights, must be agreed separately in writing.

13. Third-Party Assets

Some Products may interact with, depend upon or incorporate third-party software, vehicles, frameworks, game modifications or other assets.

This Agreement does not grant you rights that Impulse Designs does not own or have authority to grant.

You are responsible for complying with the applicable terms of any third-party assets you use alongside an Impulse Designs Product.

Impulse Designs does not claim ownership of third-party intellectual property where such ownership does not belong to Impulse Designs.

14. Personal and Commercial Use

Unless otherwise stated on the relevant Product page, a purchased Product may be used for the normal operation of the customer's own Server.

The purchase of a Product does not automatically grant permission to commercially exploit, resell, sublicense or redistribute that Product.

If you require additional commercial rights, you should contact Impulse Designs before using the Product in that manner.

Commercial rights may be granted separately at the discretion of Impulse Designs.

15. Content and Branding

Customers must not use Impulse Designs' name, branding, logos or other identifying material in a manner that falsely suggests that the customer is Impulse Designs or is officially affiliated with Impulse Designs.

You may refer to Impulse Designs as the creator or supplier of a Product where appropriate, but you must not falsely represent yourself as the creator of the original Product.

16. Licence Restrictions and Breach

If you breach this Agreement, Impulse Designs may take reasonable steps to protect its intellectual property and enforce its rights.

Depending on the circumstances, this may include:

• Suspending or terminating your licence to use the affected Product.
• Revoking access to future updates or downloads.
• Requesting removal of unauthorised copies.
• Issuing a copyright or intellectual property infringement notice.
• Seeking compensation or other remedies where legally available.

Termination or suspension of a licence does not prevent Impulse Designs from pursuing other legal remedies available to it.

Nothing in this section limits any statutory rights you may have as a consumer.

17. Termination

The licence may terminate if you materially breach this Agreement.

If your licence is terminated, you must stop using the affected Product and, where reasonably possible, delete unauthorised copies in your possession or control.

Termination does not automatically entitle a customer to a refund.

Any refund entitlement will be determined in accordance with the applicable Refund Policy and relevant consumer law.

18. Refunds and Consumer Rights

This Agreement governs the intellectual property licence associated with your purchase. It does not replace or remove any applicable consumer rights.

Impulse Designs will comply with applicable consumer protection legislation.

Nothing in this Agreement is intended to exclude or restrict liability or rights that cannot legally be excluded or restricted.

19. Product Updates

Impulse Designs may occasionally release updates, fixes or improvements to Products.

Unless otherwise stated, Impulse Designs does not guarantee that every Product will receive updates indefinitely.

An update may introduce changes to functionality, compatibility or installation requirements.

Where a Product becomes incompatible because of changes to third-party software, games, frameworks or platforms, Impulse Designs will make reasonable efforts to provide support where appropriate but cannot guarantee continued compatibility with third-party systems.

20. Availability and Access

Impulse Designs may change, discontinue or withdraw a Product from sale.

Where legally required, this will not affect rights that a customer has already acquired in relation to their purchase.

The discontinuation of a Product does not grant customers permission to redistribute or publicly share previously purchased files.

21. No Transfer of Licence

The licence granted under this Agreement is personal to the purchasing customer unless otherwise agreed in writing.

You must not transfer, sell or assign your licence to another person, Server or organisation without written permission from Impulse Designs.

If a Server changes ownership or control, the new owner should obtain appropriate permission or purchase their own licence where required.

22. Intellectual Property Enforcement

Impulse Designs reserves the right to protect its intellectual property against unauthorised copying, distribution, reproduction and use.

Unauthorised distribution of digital Products may cause significant harm to the business and may constitute copyright infringement or another breach of applicable law.

Impulse Designs may use reasonable technical, contractual and legal measures to identify and address unauthorised distribution.

23. Agreement to These Terms

By purchasing, downloading, accessing or using an Impulse Designs Product, you acknowledge that you have had an opportunity to review this Agreement and agree to the applicable terms.

Where the checkout process provides an option to expressly accept the Agreement, acceptance of the Agreement forms part of the terms applicable to your purchase.

If you do not agree to the Agreement, you should not purchase or use the Product.

24. Changes to This Agreement

Impulse Designs may update this Agreement from time to time.

The version applicable to a purchase will generally be the version presented to the customer at the time of purchase, subject to any later changes required by law or otherwise permitted under the applicable contract.

Significant changes will be communicated through appropriate channels where reasonably necessary.

25. Governing Law

This Agreement is governed by the laws applicable to Impulse Designs and, where applicable, the laws of England and Wales.

Nothing in this section prevents a consumer from relying on mandatory consumer protection rights or bringing a claim in a court that has jurisdiction under applicable law.
